Foundation Enterprise

The purpose of the company, which will operate in five main subjects related to each other, is determined by the fields of activity explained under the headings below:

1. CONSTRUCTION PROJECT

• → To perform construction undertaking and contracting works, to construct official and private constructions.
• → To perform construction of hospitals, schools, elderly care and geriatrics centers as well as residences and workplaces in return for flats, to make agreements, to perform renovation and assembly works, landscaping and environmental arrangements of these residences and workplaces.
• → To make commitments regarding all kinds of construction, installation, electricity and excavation matters domestically and abroad and to fulfill them.

2. HEALTH AND EDUCATION

• → To cooperate with health institutions and organizations at national and international levels such as hospitals, clinics, polyclinics, laboratories, imaging centers and similar that will offer medical diagnosis, treatment, rehabilitation and care services in the field of health, to establish partnerships, to take part in joint projects, to participate in consortiums, to develop and produce health technologies, and to engage in import and export activities.
• → To carry out the stages of managing cooperation and partnerships with institutions, organizations, domestic and foreign foundations, associations and funds in the Health and Education sector by acting in accordance with patient safety, patient rights and privacy, standards based on health service quality, national legislation and the regulations of the Ministry of Health, and by observing ethical principles and legal obligations.
• → To offer consultancy services in the fields of health and education, to organize innovative courses, seminars, symposiums and similar educational activities suitable for the relevant Ministry of National Education legislation in order to train expert personnel, which will increase the qualifications of health personnel and contribute positively to the general development of the sector, and to organize certified training programs that ensure the teaching of ethical values and encourage personal development.
• → To cooperate with institutions and organizations at national and international levels within the scope of relevant legislation, to take part in joint projects or to participate in consortiums.
• → To prepare, publish and distribute printed or digital publications, brochures, magazines, books and similar materials regarding health and education where information security, protection of personal data and intellectual property rights are observed.
• → To realize software, application and technological infrastructure investments related to the sector, to engage in research and development activities for the development of products that comply with current standards and where user safety is prioritized.
• → To perform the purchase, sale, import and export of necessary machinery, equipment, medical devices, laboratory materials and educational materials within the scope of activity subjects.
• → To contribute to social responsibility projects and to engage in activities observing social benefit within the framework of collaborations to be made with the public and private sectors.

3. ENGINEERING-ARCHITECTURE

• → The Company to perform every kind of architectural and static plan project drawing and undertaking. To put these into practice, to undertake technical responsibility, to perform project management and all kinds of construction and occupancy permit procedures from relevant official institutions. To make alterations on projects it has drawn and to implement them. To perform three-dimensional modeling drawings, to perform landscape projects and implementation, to perform decoration, renovation, relief restoration and repair.
• → To perform and have performed all kinds of construction engineering projects domestically and abroad, to perform and have performed the approval of projects, to perform and have performed the renovation and modification of the existing project, to perform, project, have approved the designs of every kind of hotel, motel, school, bank, hospital, bus terminal, gas station, business center, plaza, residence and other kinds of official and private structures domestically and abroad, and to perform and have performed the control and controllership of these projects and plans.
• → To provide and receive engineering and architecture services of all kinds domestically and abroad, to undertake technical responsibility, to issue progress payments, to perform and have performed temporary and final acceptances, to open offices and bureaus to perform and have performed engineering and architecture works domestically and abroad.

4. CONSULTANCY

To provide every kind of consultancy and management service provided that it performs management consultancy in all economic, commercial, financial and administrative fields domestically and abroad, and to undertake the consultancy and management of public, domestic and foreign private sector organizations and companies engaged in all these fields. In order to achieve its purpose specified above, the Company;

• → May participate in official and private tenders and make commitments domestically and abroad, including privatization, regarding its subject.
• → May take representations or give representations domestically and abroad regarding its subject.
• → May participate in fairs; organize exhibitions, conferences etc. meetings domestically and abroad regarding its subject.
• → May establish distributorship, agency and dealership regarding its subject.
• → May purchase, construct, rent out, allocate mortgage and release, accept or give pledge of movables, establish all kinds of real and personal rights regarding movables and real estate including promise of sale, pledge and mortgage, regarding movables and immovables, establish these rights in favor of others, have them annotated and registered in the land registry and relevant registries, establish and register these types of rights including pledge, commercial enterprise pledge and mortgage for third parties, receive mortgages from third parties or transfer mortgages to third parties, release mortgages and pledges established in favor of the company, show the movables and immovables it possesses as collateral in any name and manner on behalf of itself or third parties including mortgage pledge and commercial enterprise pledge. May perform every kind of financial, commercial and administrative transaction, may perform import and export.
• → May acquire, have registered, purchase, use, lease, transfer, grant license for license, privilege, brand, patent, know-how, technical knowledge, other intellectual and industrial property rights and conclude agreements regarding these.
• → May cooperate with existing or future domestic or foreign, real or legal persons, form new companies with them or engage in undertakings, take over domestic and foreign companies and enterprises completely or partially, participate in the capital of these companies or enterprises, participate in companies as a founder, purchase shares of companies provided not to perform brokerage activities, sell the shares it owns.
• → May purchase share certificates and bonds of every product for the evaluation of company funds provided not to perform brokerage, and give them as collateral.
• → Performs the transfer, merger, conversion and liquidation procedures of companies located domestically and abroad and provides financial consultancy services to companies.
• → May perform business planning, business development and feasibility in all commercial, financial and administrative fields.
